TravelPledge Terms and Conditions


Summary

Geronimo Solutions LLC (“Geronimo” DBA “TravelPledge”) agrees to connect nonprofit partners with donated and partially donated vacations, golf rounds, lessons, cruises, and other fun experiences, along with promotional tools to convert these experiences into donations at fundraising events (auctions, raffles) and/or on a custom branded website. Geronimo will never solicit on behalf of nonprofit partners.

The nonprofit partner agrees to make best efforts to promote their fundraisers and accurately report all experience sales to Geronimo. Nonprofit partner agrees to pay a fraction of the gross donation generated whenever the nonprofit partner sells an experience procured through TravelPledge. This fraction will vary based on the experience provider donation settings and where the purchase took place (auction vs. online sale from a Geronimo-furnished custom branded website). In some cases, no payment will be due from nonprofit partner to Geronimo. The nonprofit partner may also purchase experiences for their raffle for a greatly discounted fixed dollar amount. Credit card payment processing fees are passed along to nonprofit partner. The table below shows how provider preferences affect donation generated.

*The nonprofit also retains 100% of the winning bid portion above retail value. The minimum percentage that the nonprofit partner keeps is published next to each experience within the TravelPledge dashboard.

1. Terms

By accessing the website at https://www.travelpledge.com, and other sites owned and operated by Geronimo Solutions, LLC (henceforth referred to as “Geronimo”), you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

2. Use License

  1. Permission is granted to temporarily download one copy of the materials (information or software) on Geronimo's websites for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
    1. modify or copy the materials;
    2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    3. attempt to decompile or reverse engineer any software contained on Geronimo's website;
    4. remove any copyright or other proprietary notations from the materials; or
    5. transfer the materials to another person or "mirror" the materials on any other server.
  2. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Geronimo at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Disclaimer

  1. The materials on Geronimo's websites are provided on an 'as is' basis. Geronimo makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
  2. Further, Geronimo does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

In no event shall Geronimo or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Geronimo's website, even if Geronimo or a Geronimo authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

If you are dissatisfied with the site, you do not agree with any part of the terms, or have any other dispute or claim with or against us or another user of the site with respect to these terms or the site, then your sole and exclusive remedy against us is to discontinue using the site. In all events, our liability, and the liability of Geronimo, to you or any third party in any circumstance arising out of or in connection with the site is limited to the amount collected by us in connection with the specific rental in question.

5. Accuracy of materials

The materials appearing on Geronimo's websites could include technical, typographical, or photographic errors. Geronimo does not warrant that any of the materials on its website are accurate, complete or current. Geronimo may make changes to the materials contained on its website at any time without notice. However Geronimo does not make any commitment to update the materials.

6. Links

Geronimo has not reviewed all of the sites linked to its websites and is not responsible for the contents of any such linked site. The inclusion of any inbound or outbound link to or from Geronimo does not imply endorsement by Geronimo. Use of any such linked website is at the user's own risk.

7. Modifications

Geronimo may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

8. Certificate Promotion

The nonprofit event organizer agrees to make reasonable efforts to promote their selected TravelPledge experiences (golf, lessons, vacations, cruises, golf vacations, dinners etc) at their event. Promotion must accurately communicate to bidders any minimum bids, inclusions, restrictions, blackout dates, and other pertinent information provided by TravelPledge. Furthermore, no TravelPledge experience shall be sold for less than the minimum bid provided by TravelPledge. If TravelPledge determines that the certificate promotion requirements were not met, it reserves the right to void any certificates (with no refund due) not meeting requirements.Online Certificate Purchases by Don

9. Certificate Purchases

Geronimo furnishes certificates that are sold at auctions, raffles and online. In all cases, certificate purchases are non-refundable. The certificate holder may redeem their certificate directly with the experience provider who posted the certificate to be made available on www.travelpledge.com, and affiliated websites.

While Geronimo will advocate for satisfactory outcomes for certificate holders, it is the responsibility of the experience provider who posted the certificate to fulfill the certificate as issued. Geronimo provides websites as a service, where experience providers can post experience certificates. A certificate purchased made on Geronimo's websites is an agreement between experience provider who posted the certificate and the certificate holder. Geronimo, DBA Geronimo.com (and TravelPledge.com) is not a party to any agreements purchased on its websites and is not liable for any damages or claims related hereto.

The experience provider who posted the certificate bears full responsibility for the accuracy of the information related to the description, amenities, location, availability and any other features, etc for any property listed on Geronimo's websites. Users are encouraged to contact owner/manager with any questions prior to booking.

Geronimo is not responsible for the condition of the experience provider's property or services listed on our Site or the compliance with laws, rules or regulations that may be applicable to any experience in any jurisdiction.


Auction & Raffle Certificates Purchased by Organizer

Geronimo provides tools that enable organizers of events to benefit nonprofits to gather fun experiences (such as vacations, golf, and more) and sell them at their auctions or use them at fundraising raffles.

Auctions

At the end of the auction event, the event organizer indicates which certificates sold and which did not sell along with the winning bids received. Based on the winning bids and the percentage furnished on the website to the organizer at the time they reserved an experience for their auction that indicates how much the nonprofit keeps, an invoice is automatically generated (only for the items that sold) and the organization is responsible for invoice payment before any certificates for fun experiences are issued (typically by email) or can be redeemed by winning bidders. The invoice includes details of the certificates purchased and the amount due on each certificate. The amount due may also include any applicable taxes and fees. Payment may be made by check, credit card or PayPal. In any case, certificate purchases are non-refundable.

At some events, the event organizer may wish to have Geronimo collect the funds. In this case, any experiences purchased are still non-refundable, but Geronimo will collect on behalf of the charity. In that case, no invoice is generated.

Raffles

Before the raffle event, the event planner may elect to purchase certificates valid for fun experiences (such as golf, vacations, lessons, etc) that can be raffled off to raise money for the cause. These items are pre-paid in advance and are non-refundable. Payment may be made by credit card or PayPal.

Note: TravelPledge reserves the right to void any certificates (with no refund) that it determines are not used for the specific purpose of raising money for a valid nonprofit organization.

Online Certificate Purchases by Donor

We provide private-label websites for organizers of events to benefit nonprofits where supporters of the nonprofit can purchase certificates at a stated price. These items are pre-paid in advance and are non-refundable. Payment may be made by credit card or PayPal.

10. TravelPledge Auctions

By utilizing TravelPledge's auction software, you - the nonprofit partner - agree to the following:

  • TravelPledge is not a party to any transactions between you and any bidder. You release TravelPledge from any claims, demands and damages or in any way connected with such disputes.
  • You will describe all auction items that you upload truthfully and accurately.
  • You are responsible for your auction open and close times and communications with bidders.
  • You are prohibited from shill bidding (i.e., placing bids or causing bids to be placed to artificially increase the bid price.
  • You will refrain from changing any auction items with bids on it. If you must make a change, you will notify all current bidders of the change and allow them to retract their bid.
  • You are responsible for determining what sales or use taxes apply to any sale transactions and remitting the correct tax to the appropriate tax authority.
  • You will deliver auction items or arrange for pickup for any purchased item. Note that TravelPledge certificates will be delivered once TravelPledge receives payment.
  • You will comply with all applicable laws, statutes and regulations regarding running an auction and other fundraising activities.
  • You agree not to post auction items that is sexually explicit; creates a risk of harm to any person, property or animal; violates or encourages any conduct that violates laws or regulations; contains any information or content we deem to be hateful, violent, harmful, abusive, racially, ethnically offensive, or illegal; infringes any third party's Intellectual Property Rights, privacy rights, publicity rights, or other personal or proprietary rights; or contains any information or content that is fraudulent, false, misleading, or deceptive.
  • If a winning bidder pays their invoice, then later files a successful dispute with their card issuer, you will reimburse TravelPledge for all funds transferred to your bank account related to the successful dispute within 60 days of TravelPledge notifying you.

TravelPledge reserves the right to remove any uploaded content for any reason or for no reason, including content that TravelPledge believes violates the above terms. TravelPledge may also remove or suspend any user, bidder or other account without notice and liability for any reason.

11. Unauthorized Uses of the Site

The license to use the site granted to users in these Terms does not include any right of collection, aggregation, copying, scraping, duplication, display or derivative use of the Site nor any right of use of data mining, robots, spiders or similar data gathering and extraction tools without our prior written permission; provided, however, that a limited exception from the foregoing exclusion is provided to general purpose internet search engines and non-commercial public archives that use tools to gather information for the sole purpose of displaying links to the Site, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent and comply with our robots.txt file.

Unauthorized uses of the Site also include, without limitation, those listed below. You agree not to do any of the following, unless otherwise previously authorized by us in writing:

  1. Any commercial use (other than by members with a valid subscription) of the Site or any content on the Site;
  2. Any use of the Site to raise funds for a for-profit entity;
  3. Sell, offer for sale, transfer, or license any portion of the Site in any form to any third parties;
  4. Use the Site or post or transmit information that is in any way false, fraudulent, or misleading, or taking any action that may be considered phishing or that would give rise to criminal or civil liability;
  5. Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, indecent, inflammatory, sexually explicit, pornographic or profane material;
  6. Violate, plagiarize or infringe the rights of us or third parties including, without limitation, copyright, trademark, patent, trade secrets, rights of publicity or privacy or any other intellectual or proprietary rights; or
  7. Use or access the Site in any way that, in our sole discretion, adversely affects or could adversely affect the performance or function of the Site or any other system used by us or the Site.
If you are aware of or experience any content, activity or communication through or in connection with the Site that appears to be in violation of the above restrictions, or in violation of any other provision of these Terms, we ask that you please inform us of any such violation by sending an email to support@geronimo.com.

12. Identity Verification

User verification on the Internet is difficult and we cannot and do not confirm each user's purported identity.

You agree to (i) keep your password and online ID secure and strictly confidential, providing it only to authorized users of your account, (ii) instruct each person to whom you give your online ID and password that he or she is not to disclose it to any unauthorized person, (iii) notify us immediately and select a new online ID and password if you believe your password may have become known to an unauthorized person, and (iv) notify us immediately if you are contacted by anyone requesting your online ID and password. We discourage you from giving anyone access to your online ID and password. However, if you do give someone your online ID and online password, or if you fail to adequately safeguard such information, you are responsible for any and all transactions that the person performs while using your account.

Each user acknowledges and agrees that: (1) neither the site nor any of its affiliates will have any liability to any user for any unauthorized transaction made using any user's password that occurs before such user has notified us of possible unauthorized use of such password and we have had a reasonable opportunity to act on that notice; and (2) the unauthorized use of your online id and password could cause you to incur liability to both the site and other users. Further, we may, without notice to you, suspend or cancel your account at any time even without receiving notice from you if we suspect, in our sole discretion, that your password is being used in an unauthorized or fraudulent manner.

13. Responsibility for User-Contributed Content

We have no duty to pre-screen content posted on the Site by any users (including, without limitation, reviews of or guest book entries for any particular experience provider, and descriptions of nonprofit organizations on private label websites), (collectively, "user-contributed content") and we are not responsible for user-contributed content. We do, however, reserve the right to decline to permit the posting on the Site. We may also remove user-contributed content at our discretion.

The experience provider who posted the certificate bears full responsibility for the accuracy of the information related to the description, amenities, location, availability and any other features, etc for any property listed on Geronimo's websites. Users are encouraged to contact owner/manager with any questions prior to booking.

We reserve the right to disclose any information as permitted by prevailing law to satisfy any law, regulation or government request if we determine, in our sole discretion, that we are required to respond to, or if it would be in our interests to, respond to such request.

14. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Georgia and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

Any cause of action you may have hereunder or with respect to your use of the site must be commenced by filing suit in fulton county, georgia within one (1) year after the incident upon which the claim or cause of action is based first occurred. Any dispute relating in any way to your visit to Geronimo Solutions LLC. or to products you purchase through Geronimo Solutions LLC. shall be submitted to confidential arbitration in Atlanta, Georgia, except that, to the extent you have in any manner violated or threatened to violate Geronimo Solutions LLC intellectual property rights, Geronimo Solutions LLC may seek injunctive or other appropriate relief in any state or federal court, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

  • third party service providers for the purpose of enabling them to provide their services, including (without limitation) IT service providers, data storage, hosting and server providers, ad networks, analytics, error loggers, debt collectors, maintenance or problem-solving providers, marketing or advertising providers, professional advisors and payment systems operators;
  • our employees, contractors and/or related entities;
  • sponsors or promoters of any competition we run;
  • courts, tribunals, regulatory authorities and law enforcement officers, as required by law, in connection with any actual or prospective legal proceedings, or in order to establish, exercise or defend our legal rights;
  • third parties, such as experience providers (e.g.,resorts, golf courses) and including agents or sub-contractors, who assist us in providing information, products, services or direct marketing to you. They may send special offers to event planners and winning bidders;
  • third parties to collect and process data; and
  • other website users to assist them with identifying fundraising site administrators.

5. International transfers of personal information

The personal information we collect is stored and processed in the United States, or where we or our partners, affiliates and third-party providers maintain facilities. By providing us with your personal information, you consent to the disclosure to these overseas third parties.

6. Your rights and controlling your personal information

Choice and consent: By providing personal information to us, you consent to us collecting, holding, using and disclosing your personal information in accordance with this privacy policy. If you are under 16 years of age, you must have, and warrant to the extent permitted by law to us, that you have your parent or legal guardian's permission to access and use the website and they (your parents or guardian) have consented to you providing us with your personal information. You do not have to provide personal information to us, however, if you do not, it may affect your use of this website or the products and/or services offered on or through it.
